OF THE STUDENT BAR ASSOCIATION OF THE TASHKENT CITY (NEW EDITION)

Student Bar Association of the Tashkent City CHARTER 1. General Provisions: 1.1 Student Bar Association of Tashkent City (hereinafter referred to as SBA) shall be created as having status of public association for the purpose of all-round development of law students, shaping their in-depth knowledge and high legal awareness, increasing their political activity, creating of favorable conditions for training of modern legal cadre able to meet international standards. 1.2 SBA shall be an independent non-governmental public organization acting as a self-governing and self-financing legal entity.
1.3 In its activities, SBA shall conform to the Constitution, the laws on Republic of Uzbekistan about National policy on youth, On Non-Governmental Non-for-Profit Organization and legislation of the Republic of Uzbekistan as well as this Charter.
1.4 SBA shall participate in the forming of civil society based on democratic principles.
1.5 SBA is a legal entity with its own balance and property. It shall engage in financial and economic as well as entrepreneurial activities. It shall have banking accounts in both national and foreign currencies.
1.6 SBA shall have its own stamp and seal, as well as an emblem and symbols of the association.

1.9 The address of SBA is: 35 Sayilgoh St. (administrative building of the Tashkent State Law Institute) 1st Floor Tashkent 700047, Uzbekistan 2. Objectives and Goals of the SBA: 2.1. Main Objectives of the SBA: - to protect the rights of law students; - to create favorable conditions for training of young legal cadre able to meet world standards; - to strengthen political and social role of law students in the life of the state and society; - to unite law students for social, economic and cultural purposes; 2.2 Main goals (tasks) of the SBA are: - to create and implement programs for studying and solving of social, economic, political, spiritual and cultural needs of law students; - to participate in drafting and implementing of state and government programs; - to enhance legal knowledge, legal awareness and legal culture of citizens (by means of dissemination of legal information); - to organize various seminars, lectures and conferences in the area of law;
- to study international legal experience; - to organize various competitions and Olympiads in the area of law;
- to combine efforts of law students and practicing lawyers for the purpose of implementation of idea of the rule of law society;
- to cooperate with national judiciary and law enforcement bodies, governmental agencies and organizations, as well as with public human rights institutions and other organizations;
- to establish libraries and coordination centers for law students;
- to cooperate with other non-governmental public organizations in the world;
- to join international organizations as a common member - to engage in other activity not prohibited by current legislation of the Republic of Uzbekistan.
3. Rights and Obligations of the SBA: 3.1. SBA shall be entitled to: - represent and advocates for the rights and lawful interests of its members; - within its authority, on its behalf, together with legal entities and natural persons draw up contracts and other legal documents; - receive necessary information from government agencies and organizations m order to meet its goals and objectives; - reach out on initiatives and proposals to government administration bodies; - create its own data base; - disseminate information on its activities; - establish mass media and carry out publishing activities in the procedures provided by law; - engage in entrepreneurial activities in order to meet goals and objectives set forth in this Charter; - becomes an equal member of international public organizations; - enjoy other rights provided for in the existing legislation of the Republic of Uzbekistan.
3.2. Obligations of the SBA
- to observe the law; - to disseminate and ensure accessibility of information about its activities and using of its property and funds; - SBA shall bear other obligations established by law. 4. SBA Membership: 4.1. Membership in the SBA can be individual and common. 4.2. Common members shall be legal entities and their branches. Relationship common members within the SBA shall be based on contract basis. Common members shall enjoy equal rights with individual members. 4.3. Members of the SBA can be citizens of the Republic of Uzbekistan, foreign nationals and stateless persons who has reached the age of 14 studying at law departments of higher and secondary special education institutions who recognize the SBA Charter. 4.4. Admission of new members shall be determined by the Executive Board under the application of a person.
4.5. SBA members shall have the following rights: - to participate in the SBA activities; - to receive necessary information about SBA activities; - to develop proposals to the SBA governing bodies. 4.6. SBA members shall have the following responsibilities: - to observe the Charter, the internal rules and decisions of the SBA governing bodies; - to pay membership fees timely;
- to take an active part in implementation of the SBA Charter.
4.7. Termination of membership shall be executed with the initiative of the member himself under his written application, or by the decision of the Executive Board.
4.8. Expulsion from members can be decided by the Board in the following cases: - failure to observe the Charter, internal rules and decisions of the SBA governing bodies; - evasion of dues; - committing of actions tarnishing SBA reputation. 5. Structure of the SBA 5.1. The Forum The highest governing body of the SBA shall be Forum of SBA members, convened not less than once a year. By the decision of the Board or on the initiative of 1/4 of all SBA members, as well as on the initiative of the Control and Revision Commission, an irregular Forum can be called for. Forum shall be competent in case of participation of 1/3 of its members [the quorum is 1/3]. Representatives of SBA's sponsor organizations can take part in the Forum's work. They have the right to introduce their initiatives and suggestions but they shall be not entitled to vote. The following are in the competence of the Forum: - Adopts the Charter and makes amendments to it; - Determines main courses of the SBA activities; - Elects the Chairman and SBA Board members; - Approves the composition of the Executive Board on the Chairman’s proposal; - Approves the budget submitted by the Chairman; - Elects members of the Control and Revision Commission; - Hears and approves annual reports of the Board and the Control and Revision Commission; - Establishes publishing organs and mass media of the SBA; - Renews composition of the Board on the initiative, of the Chairman, 1/3 of all members or not less than 3 members of the Board; - Approves the Regulations for the Forum; - Creates subsidiary bodies in case of need; - Solves issues of reorganization and liquidation of the SBA; - Executes other powers provided for by legislation of the Republic of Uzbekistan and in the present Charter. Decisions shall be considered passed if the majority of the Forum participants vote for them. Resolutions of the Forum shall be obligatory for every SBA member. Decisions concerning constituent documents, financial and programmatic reports as well as budget issues shall be passed by the majority not less than 2/3 of the Forum’s attendees. 5.2 The Executive Board The Executive Board shall be elected by the Forum by equal and open voting for the term of one year and shall administer SBA’s activities in between forums. The Board shall consist of 7 members: the Chairman who shall be an ex officio member and head the activities, two executive secretaries and four board members. The Chairman shall call for a Board meeting as the need arises but not less than once a month. The meeting shall be competent when 2/3 of members of the Board are present.
5.2.1. Authorities of the Board: a) developing and adopting programs and work plans; b) developing and approving bylaws; c) introducing draft amendments to the Charter to the Forum; d) hearing and approving the Executive Apparatus Report; e) solving of issues regarding admission and expulsion of members; f) drafting the budget and its submission for the Forum consideration; g) submission for the Forum approval the composition of the publishing bodies and mass media of the SBA; h) determining the amount of membership dues and terms of payment; i) carrying out the organizational and financial management and bearing responsibility for the SBA activities; j) calling for the Forum. Decisions shall be considered valid if the majority of the participating Board members have voted for it. 5.3. Executive Apparatus of the Board The Executive Apparatus performs its activities as part of the Board. It shall e elected by the forum’s equal and open voting for the term of one year. The Executive Apparatus of the Board shall be a permanent executive body of the SBA. Executive Apparatus chaired by the Chairman shall govern SBA's activities in between Board meetings. It shall consist of the Chairman and two Executive Secretaries. 5.3.1. Duties of Executive Secretaries: a) carry out outside activities of the SBA; b) cooperate with mass media; c) perform Chairman duties in his temporary absence; d) enforce programs and decisions of the Forum and the Board; e) develop and implement plans for routine activities of the SBA; f) organize the conduction of the Forum’s and Executive Board’s meetings. Executive Apparatus shall implement decisions and other normative documents approved by Forum and Board meetings. The Chairman shall report on behalf of the Executive Apparatus at every Executive board meeting. In addition, each member of the Apparatus shall report on the field with which he is in charge. 5.4. Chairman of the SBA Chairman shall be elected by the forum’s equal ballot for the term of one year. Chairman shall provide general management of the SBA activities. A candidate, who has gained not less than 2/3 of votes of the Forum, shall become the Chairman. If no one of candidates has gained the required number of votes, the second round shall be conducted, to which two candidates who have gained the largest number of votes shall advance. The candidate who has gained the largest number of votes at the second round shall be considered elected.
5.4.1. Powers of Chairman: a) Coordinates main directions of SBA activities;
b) Manages Board's and Executive Apparatus's activities;
c) Is a plenipotentiary representative in different governmental agencies, organizations, including foreign organizations; d) Chairs the Forum and Board meetings; e) Present to the Forum candidates for Executive Secretaries position from among the Board members; f) Assign responsibilities between the two Executive Secretaries;
g) Conclude agreements with legal entities and natural persons on behalf of the SBA;
h) Exercises other powers provided for by the charter. The Chairman must act in the interests of the SBA. 5.5. Control and Revision Commission Control and Revision Commission shall control financial and economic activity of the SBA. CRC shall report only to the Forum. Control and Revision Commission consists of three members elected by the Forum for one year. Board members cannot be members of the Control and Revision Commission. For the purpose of financial control of SBA activities the Forum shall be entitled to appoint an auditor from among the SBA members or engage an outside auditor (auditing firm). In any case all financial reports shall be approved by the Forum only after the audit inspection has been carried out. 5.6. Committees Committees shall be created and abolished with the initiative of ten SBA members. Activities of the committees shall be administered by heads who shall be elected by members of relevant committees. Committees consist of SBA members volunteered to join the committees. Activities of the committees shall be consistent with the charter goals and objectives determined by par. 2.1. and 2.2. of the Charter.
VI. Property and Assets of the SBA 6.1 Property of the SBA:
a) Buildings, cultural information centers; b) Funds, shares, as well as property and assets allowed by law and necessary to provide for the SBA's activity; c) Publishing houses, mass media, enterprises and others.
6.2. Property Responsibility of SBA
SBA shall be liable for its activities. SBA’s property can be a source of debt recovery in the procedures established by law. 6.3. Sources of SBA's assets: a) Membership fees and voluntary charitable donations from organizations, enterprises, sponsors, private firms and citizens; b) Charitable donations of foreign firms, organizations and nationals; c) Revenues from commercial activities that shall be allocated for achieving the charter goals exclusively; d) Targeted payments under agreements with interested partners for the purpose of conducting seminars, forums and other activities; e) Income from publishing activities; f) Other sources not contradicting with law. VII. Procedure for Amending the Charter 7.1. Proposal on amending the Charter shall be introduced on the initiative of the Chairman and not less than 1/3 of SBA members. 7.2. Decision on amending the Charter shall be considered adopted, if 2/3 of the Forum’s attendees voted for it. VIII. Procedure for Reorganization or Liquidation of the SBA 8.1. Reorganization (absorption, merger, separation, division or transformation) of the SBA may be implemented by the decision of the Forum in accordance with procedure established by law.
8.2. Liquidation of the SBA shall be carried out by the decision of the Forum or court.
8.3. In case of liquidation the Forum with the Ministry of Justice approval, shall appoint a liquidation commission that shall take over the administration of the SBA.
8.4. The liquidation commission shall assess SBA’s property, identify debtors and creditors, and settle accounts.
8.5. Remaining property and assets shall be allocated for charitable purposes. The property and assets may not be distributed among SBA members or members of governing bodies.
8.6. Issues not regulated by the present Charter shall be solved in accordance with the current legislation of Uzbekistan.
